1. Acceptance of Terms

By accessing or using Cardwise ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Cardwise.

We reserve the right to update or modify these Terms at any time. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

2. Description of Service

Cardwise is a relationship management platform that helps users track important dates, preferences, and memories for their personal relationships. The Service includes:

  • Relationship tracking and management
  • Event and date reminders (birthdays, anniversaries, etc.)
  • Memory logging and timeline features
  • AI-powered content generation for cards, messages, and speeches
  • Email and browser notifications
  • Gift idea tracking

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice.

3. User Accounts and Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Immediately notify us of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

You must be at least 13 years old to use the Service. If you are between 13 and 18 years old, you must have parental or guardian consent to use the Service.

4. Subscription and Payment Terms

Cardwise offers both free and paid subscription tiers:

Free Tier

Includes 5 lifetime credits for AI content generation and in-app reminders. Credits do not reset monthly. Physical card orders are available at $7.99 per card plus $1.00 shipping.

Gold Tier

Includes 50 credits per month for AI content generation (credits reset monthly), high-quality image generation, email notifications, priority processing, advanced customization, and early access to new features. Physical card orders are available at $6.99 per card with free shipping.

Subscriptions automatically renew monthly unless canceled at least 24 hours before the end of the current billing period. Payment will be charged to your account at confirmation of purchase.

You may cancel at any time and will retain access through the end of your current billing period.

We reserve the right to change our pricing at any time. If we increase the price of your subscription, we will notify you in advance and you will have the option to cancel.

5. User Responsibilities

You are solely responsible for:

  • The accuracy of information you enter into the Service
  • Maintaining the confidentiality of relationship data
  • Ensuring you have appropriate permissions to share information about other individuals
  • Your use of AI-generated content and ensuring it is appropriate for your intended use
  • Complying with all applicable laws and regulations in your use of the Service

6. User-Generated Content

You retain ownership of your original content you create, upload, or store in the Service, including relationship information, memories, events, and notes ("User Content"), to the extent such content does not incorporate third-party intellectual property.

By uploading any content to the Service, you represent and warrant that you own all necessary rights to that content or have obtained all required licenses and permissions to use it and to grant us the license described below. You may not upload images, artwork, designs, or other content that you do not own or do not have a license to use, including copyrighted greeting cards, photographs, logos, or other third-party designs. Cardwise's license to your content is conditioned on your compliance with this warranty.

By using the Service, you grant Cardwise a limited, non-exclusive license to store, process, and display your User Content solely for the purpose of providing the Service to you. We will not share, sell, or use your User Content for any other purpose without your explicit consent.

You are responsible for ensuring that your User Content does not violate any laws or infringe on any third-party rights.

7. Intellectual Property Rights

The Service, including its design, features, graphics, software, and text, is owned by Cardwise and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent. You may not reverse engineer or attempt to extract the source code of the Service.

8. AI-Generated Content

The Service uses artificial intelligence to generate personalized content such as greeting cards, messages, and speeches. This content is generated based on information you provide about your relationships.

You agree not to upload copyrighted images, artwork, card designs, or other third-party intellectual property as reference inputs to the AI. Uploading content you do not own or have a license to use is a violation of these Terms and releases Cardwise from any liability arising from such use.

While we strive to provide high-quality, appropriate content, AI-generated content may occasionally contain errors, inaccuracies, or inappropriate material. You are solely responsible for reviewing and approving AI-generated content before using it.

You own the rights to AI-generated content created for you and may use it for personal purposes, solely to the extent such content does not infringe the intellectual property rights of any third party. We retain the right to use anonymized, aggregated data from AI interactions to improve the Service.

9. Community Content Policy

Cardwise includes a community gallery where users can share AI-generated greeting cards with the public. Cards published to the community gallery are visible to all users and must comply with our community standards.

Cards may be removed without notice for violations including, but not limited to:

  • Nudity or sexually explicit content
  • Harassment, bullying, or targeted abuse
  • Violence, hate speech, or exploitation
  • Spam, scams, or misleading information
  • Promotion of restricted or illegal items
  • Copyright infringement or unauthorized use of third-party intellectual property

Users can report content that violates these standards using the report feature available on any community card. Reports are reviewed by our moderation team. Repeated violations of our community standards may result in suspension or permanent termination of your account.

10. Prohibited Activities

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Harass, abuse, or harm another person
  • Upload malicious code, viruses, or any harmful software
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use the Service to send spam or unsolicited communications
  • Scrape, crawl, or use automated tools to access the Service
  • Share your account credentials with others
  • Use the Service in any way that could damage our reputation
  • Upload images, artwork, card designs, or other content you do not own or have a license to use, including copyrighted greeting cards, logos, or third-party designs
  • Use the Service to reproduce or create derivative works from third-party copyrighted material without authorization from the rights holder

11. Copyright Policy and DMCA Safe Harbor

Cardwise respects intellectual property rights and complies with the Digital Millennium Copyright Act ("DMCA"). We respond to valid notices of copyright infringement and will remove or disable access to infringing content promptly.

Submitting a Takedown Notice

If you believe content on the Service infringes your copyright, submit a written DMCA takedown notice to our designated agent that includes:

  1. Your physical or electronic signature
  2. Identification of the copyrighted work you claim has been infringed
  3. Identification of the infringing material and its location on the Service (e.g., URL)
  4. Your contact information (name, address, phone number, email)
  5. A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law
  6. A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf

Counter-Notices

If you believe content was removed in error, you may submit a counter-notice per 17 U.S.C. § 512(g). We will forward valid counter-notices to the original complainant.

Repeat Infringer Policy

We will terminate the accounts of users who are found to be repeat infringers of intellectual property rights in appropriate circumstances.

Please note that under 17 U.S.C. § 512(f), knowingly submitting a false DMCA notice may expose you to liability for damages, including costs and attorneys' fees.

12. Indemnification

You agree to indemnify, defend, and hold harmless Cardwise and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your access to or use of the Service
  • Any content you upload, submit, or transmit through the Service
  • Your violation of these Terms
  • Your violation of any third party's rights, including intellectual property rights, privacy rights, or publicity rights
  • Any claim that content you provided caused damage to a third party

We reserve the right to assume exclusive control of any matter subject to indemnification by you. You agree to cooperate with our defense of such claims.

13. Privacy and Data Protection

Your privacy is important to us. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

We implement appropriate technical and organizational measures to protect your data. However, no method of transmission over the internet is 100% secure, and we cannot guarantee absolute security.

14. Third-Party Services

The Service integrates with third-party services, including:

  • Anthropic (Claude AI) for text content generation (card messages, speeches, and personalized copy)
  • Google (Gemini) for AI image generation — user-uploaded images and reference content may be transmitted to Google for this purpose, subject to Google's terms and usage policies
  • Customer.io for email notifications
  • Resend for transactional emails
  • Google for account sign-in (OAuth) and optional contact synchronization
  • Gooten for physical card printing and fulfillment
  • Stripe for web subscription billing
  • RevenueCat and Apple for iOS in-app purchases
  • Firebase for analytics and push notifications

Your use of third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party services.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or reliability of AI-generated content or any other information provided through the Service. Cardwise does not warrant that AI-generated content is free from third-party intellectual property claims.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARDWISE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of your data
  • Any errors or omissions in the Service or AI-generated content
  • Any third-party content or conduct on the Service

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve months prior to the claim, or $100, whichever is greater, to the maximum extent permitted by applicable law.

17. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in the Service. Upon termination, your right to use the Service will immediately cease.

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination by us, you will lose access to your account and all associated data.

We will retain your data for 30 days after account termination, after which it will be permanently deleted, unless we are required by law to retain it longer. Payment records may be retained for up to 7 years for tax and accounting purposes.

18. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice in the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and may request account deletion.

19. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Texas, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court.

You agree to waive your right to participate in a class action lawsuit or class-wide arbitration.
